NEMA Licensing & Environmental Assessments
The National Environment Management Authority (NEMA) is Kenya's principal environmental regulatory body, established under the Environmental Management and Coordination Act (EMCA). Any project likely to have a significant impact on the environment requires an Environmental Impact Assessment (EIA) licence before commencement.
We guide clients through the entire EIA process, from engaging licensed lead experts and conducting baseline studies to managing public participation and obtaining NEMA approval. Beyond initial licensing, we advise on ongoing compliance obligations including annual Environmental Audit reports, waste management licensing, effluent discharge permits, and responding to NEMA improvement or restoration orders. Sustainability & ESG Questions
Carbon credit contracts govern the generation, verification, transfer, and sale of carbon credits from emission reduction or removal projects. In Kenya, these typically involve project developers who implement projects such as reforestation, clean cookstoves, or renewable energy installations, verification bodies that certify the emission reductions under standards like Verra VCS or Gold Standard, and buyers who purchase the resulting credits. Key contractual provisions include credit ownership, pricing mechanisms, delivery schedules, verification obligations, and liability for credit invalidation. Kenya's Climate Change Act, 2016 and the Carbon Markets Regulations provide the regulatory framework for these transactions.
Kenya's ESG compliance landscape spans multiple regulatory frameworks. Environmental requirements are governed by the Environmental Management and Coordination Act (EMCA) and NEMA regulations, covering impact assessments, pollution control, and resource management. Social obligations arise from the Employment Act, occupational safety legislation, and community engagement requirements. Governance standards are set by the Companies Act, 2015 and, for listed companies, the Capital Markets Authority's Code of Corporate Governance which mandates ESG disclosures. Kenya's Climate Change Act further requires climate change considerations in development planning. Industries such as mining, energy, and manufacturing face additional sector-specific requirements.
NEMA requires an Environmental Impact Assessment (EIA) for projects listed in the Second Schedule of EMCA. This includes industrial facilities, energy projects, infrastructure developments, large-scale housing, mining operations, and agricultural projects above specified thresholds. The EIA process involves engaging a NEMA-licensed lead expert to conduct baseline studies, assessing potential environmental and social impacts, conducting public participation, and submitting a comprehensive EIA study report. NEMA reviews the report and may issue an EIA licence with conditions. Post-approval, projects must submit annual Environmental Audit reports. Non-compliance with NEMA requirements can result in project suspension, fines of up to KES 10 million, imprisonment, or environmental restoration orders.
