International donors have strict governance and reporting requirements that must be embedded in your organizational structure from day one.
Tax Exemption Hurdles
Securing and maintaining tax-exempt status from KRA requires proper documentation, ongoing compliance, and timely renewals.

NGO Registration FAQs
Answers to frequently asked questions about non-profit registration and compliance in Kenya.
View All FAQsNGOs are registered with the NGO Coordination Board and can operate nationally or internationally, accessing foreign funding. CBOs (Community Based Organizations) are registered with the Registrar of Societies and typically focus on local community issues. The choice depends on your scope, funding sources, and operational requirements.
NGO registration typically takes 6-8 weeks from submission of a complete application. However, this can vary depending on the NGO Coordination Board's workload and the complexity of your organization's structure. INGO registration takes longer at 8-12 weeks due to additional vetting requirements.
Yes, foreigners can establish NGOs in Kenya, though local NGOs must have at least some Kenyan members. Alternatively, international organizations can register as INGOs, which allows them to operate with primarily foreign leadership. Work permits are required for foreign staff working in Kenya.
NGOs must file annual returns with the NGO Coordination Board (usually by March), submit audited financial statements, and renew their registration certificate periodically. Additional requirements may apply depending on your tax-exempt status with KRA and any project-specific approvals.
After registration, you apply to the Kenya Revenue Authority for tax exemption under Section 13 of the Income Tax Act. This requires proof of registration, your constitution showing charitable purposes, a resolution from your board, and projected income and expenditure. The process typically takes 3-6 months.
